Terms and conditions

The rules for using vda.global, and how they relate to the VDA platform.

1. Who we are

This website, vda.global, and the VDA platform are provided by:

VDA Global Pte. Ltd., a company registered in Singapore

Verified Digital Assets KE Limited, a company registered in Kenya

In these terms, "VDA", "we", "us" and "our" mean both of these companies. "You" means anyone who uses this website. You can contact us at info@vda.global.

2. Agreeing to these terms

By using this website, you agree to these terms and to our privacy notice. If you do not agree, please do not use the website.

If you use the website on behalf of a business or other organisation, you confirm that you are allowed to accept these terms for it.

3. Using this website

You may use this website to find out about VDA and to contact us. You must not:

  • use the website in a way that breaks any law or regulation;
  • try to gain unauthorised access to the website, the server it runs on or any connected system;
  • introduce viruses, malware or any other harmful material;
  • copy or collect content from the website in bulk, whether by automated means or otherwise;
  • use our contact form to send spam or unsolicited marketing; or
  • pretend to be someone else when you contact us.

We may change, suspend or withdraw all or part of the website at any time without notice.

4. Information on this website

The information on this website is general information about VDA and the VDA platform. It is not an offer to provide any product or service, and it does not create a contract between you and us.

Nothing on this website is financial, lending, insurance, veterinary, legal or tax advice. You should get advice from a qualified professional before you make decisions based on it.

Figures on the website, such as the number of ranches on the platform or head of cattle registered, describe the position at the time of writing and may change. Screenshots are examples, and the platform may look different.

We take care to keep the website accurate, but we do not promise that it is complete, accurate or up to date.

5. The VDA platform

The VDA platform is our software for recording animals, carcasses and cuts as they move through the supply chain, and for buying and selling them. It includes a web platform for managers, owners and office staff and a phone app for field staff.

Platform agreement

Businesses and organisations that use the platform do so under a separate agreement with us (the "platform agreement"). If the platform agreement and these terms conflict, the platform agreement applies to the use of the platform.

Fees

Keeping herd records on VDA is free. When an animal, carcass or cut is sold through the platform, the buyer pays a fee of 1.5% of the sale price. There is no subscription and no licence fee. The platform agreement sets out the fees that apply to each user.

Records

VDA provides the software only. The businesses that use the platform enter its records, and each business is responsible for the accuracy of what its staff record. We do not inspect, weigh or grade animals, carcasses or cuts ourselves.

Sales and payments

Sales made through the platform are between the buyer and the seller. Unless we agree otherwise in writing, VDA is not the buyer or the seller and does not guarantee the health, quality, weight or grade of any animal, carcass or cut. Payments made through the platform are handled under the platform agreement.

Lending and insurance

Lenders and insurers can use platform records when they make decisions, but each lender or insurer makes its own decisions. VDA is not a lender or an insurer.

QR labels

The information shown when you scan a VDA QR label comes from records entered by businesses in the supply chain. It does not replace official veterinary, food safety or export certificates.

6. Intellectual property

The content of this website, including its text, photographs, screenshots, design and the VDA name, belongs to VDA or to people who have allowed us to use it.

You may view the website, and you may download or print pages for your own information or to consider working with us. You must not copy, republish, sell or otherwise use any of it for commercial purposes without our written permission.

8. Contacting us through the website

When you send us an enquiry, we use your details as described in our privacy notice. Please do not send confidential or sensitive information through the contact form or by email, as messages sent over the internet are not completely secure.

9. Our liability

We provide this website "as is" and "as available". We do not promise that it will always be available, uninterrupted, secure or free from errors or viruses.

To the extent the law allows, we are not liable for any loss or damage arising from your use of, or reliance on, this website. This includes loss of profits, revenue, business, data or goodwill, and any indirect or consequential loss.

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited or excluded by law. Nothing in these terms affects your rights as a consumer under the law.

10. Changes to these terms

We may update these terms from time to time. The date at the top of this page shows when they were last changed. If you use the website after we update them, the updated terms apply to you.

11. General

If a court finds any part of these terms invalid or unenforceable, the rest of the terms will continue to apply. If we delay in enforcing any of these terms, we can still enforce them later.

12. Law and disputes

These terms are governed by the laws of Kenya. If you have a dispute with us about this website, please contact us first so that we can try to resolve it. If we cannot resolve it, the courts of Kenya will have exclusive jurisdiction.
